Visa B2B Virtual Account Payment Method Product Terms

A. If You are a Visa Member, or if You are not a Visa Member but are accessing and using Visa B2B Virtual Account Payment Method APIs (“Visa Product”) on Your own behalf and not as an Agent of a Visa Member, Section A of these Visa Product Terms apply to You.

1. In addition to any requirements set out in the Visa Rules in respect of the Visa Product, Documentation (as that term is defined in the Visa Developer Platform Terms of Use) relating to the Visa Product includes these Visa Product Terms, the Visa B2B Payables Service Description, Issuer Enrollment Form and such other guides and material concerning the Visa Product made available on the Visa Developer Platform or Visa Access (as applicable) from time to time. You agree to access and use the Visa Product and any optional Visa services available through the Visa Product in accordance with the Documentation, the Visa Developer Platform Terms of Use and any other terms or agreements referred to in these Visa Product Terms.
2. Depending on how you enroll for, access and use the Visa Product, Your intended use case for the Visa Product and Your use of any optional Visa services available through the Visa Product, You may be required to accept other terms of use or enter into a separate agreement with Visa.
3. You acknowledge that authorization controls edit rules that are powered by Visa Payment Controls can only be applied in respect of transactions made on Visa branded cards (including virtual cards and where applicable, physical cards) where such transactions are processed through VisaNet.  In addition, the performance of authorization controls is dependent on the presence and quality of the direct or derived data in the transaction message.  You acknowledge that authorization controls will not work correctly if any of the required data is missing, inconsistent, or inaccurate.
4. You acknowledge and agree that Visa does not make any representations nor provide warranties of any kind in connection with the Visa Product. Visa provides the Visa Product and the results on an “AS IS,” “WHERE IS” and “WITH ALL FAULTS” basis. Without limiting the generality of any limitations of liabilities in any applicable documents, and to the extent permissible under applicable law, You agree that Visa is not liable to You or any third party in relation to any use of or access to the Visa Product, including but not limited to any failure of authorization controls to block or allow a card transaction in accordance with edit rules selected by You and/or any Cardholder.
5. If You: 
   1. intend to utilize the Visa Product to request pseudo accounts, You must meet the requirements of Visa Token Service; and
   2. utilize the Visa Product in connection with Visa Straight Through Processing, You must enroll for Visa Straight Through Processing and depending on your Territory, You may be required to execute a Visa Straight Through Processing Issuer participation agreement. 
6. If You are a Visa Member, You may provide authorization to Visa to enable Your commercial customers to use the Visa Product and such commercial customers shall enter into the Visa Developer Platform Terms of Use and these Visa Product Terms on their own behalf. 
7. If You provide Cardholder Information and/or other Personal Information in connection with Your or Your commercial customers’ (as applicable) use of the Visa Product, You confirm that all necessary consents required under applicable data protection law have been obtained (and You shall provide all necessary notices to the relevant individuals) to share such information with Visa for Visa’s processing of the information for the purposes contemplated under these Visa Product Terms and the Documentation. Without limiting the foregoing, any Personal Information received by Visa in connection with Your or Your commercial customers’ use of the Visa Product will be processed in accordance with the Visa Developer Platform Terms of Use, including the Schedule thereto.
8. If You are participating in the Visa Commercial Integrated Partner program, Your access to and use of this Visa Product will also be governed by the terms of the partnership agreement between You and Visa. In the event of any conflict between the terms of that partnership agreement and the Visa Developer Platform Terms of Use or these Visa Product Terms, the Visa Developer Platform Terms of Use and these Visa Product Terms (as applicable) shall prevail with respect to access to and use of the Visa Product. 

B. If you are not a Visa Member but You are authorized by a Visa Member to access and use the Visa Product as an Agent of that Visa Member, Section B of these Visa Product Terms apply to You:

1. To use and access this Visa Product, You must provide evidence satisfactory to Visa that You are the Agent of a Visa Member for purposes of using this Visa Product.
2. Your access and use of this Visa Product is: (i) at the direction and on behalf of the Visa Member for which You are an Agent; (ii) only for the purpose of providing services to such Visa Member; and (iii) subject at all times to Your and such Visa Member’s ongoing compliance with the Documentation and the Visa Member’s ongoing compliance with the Visa Developer Platform Terms of Use and these Visa Product Terms, including any additional terms or agreements as required by the Visa Developer Platform Terms of Use and these Visa Product Terms.
