If you are a Visa Member or not a Visa Member the following Visa Product Terms apply to you:

1. Scope of Use: Visa hereby grants Organization a non-exclusive, non-transferable, revocable license to access and use the Visa Offers Network  (either standalone API, browser extension or through the Visa Digital Enablement SDK) (collectively, “VON”) solely for the purpose of distributing  offers (as described  and in accordance with the Documentation)  to Organization’s Cardholders via Visa approved digital channels (i.e., Organization’s owned mobile  and/or web platforms) and only in the form and format provided by Visa and/or its service provider.
   
2. Data Sharing, Usage Rights, Privacy: To the extent Visa and/or its and its Affiliates, subcontractors, and agents receive or Process any Cardholder Information and Personal Information from or on behalf of Organization, Visa will only use, disclose, and retain such Cardholder Information in connection with VON for the purposes of Visa and/or its service provider’s provision of offer personalization, cashback processing, which may include issuing statement credits, and in accordance with the Visa Developer Platform API Terms of Use and Applicable Data Protection Law (“Permitted Purposes”). 
   • Organization represents and warrants that Organization will provide all necessary notices and disclosures, obtain any required permissions or consents, or will otherwise establish an appropriate lawful basis to authorize Visa and its Affiliates, subcontractors, and agents to obtain, Process, monitor, and analyze Cardholder Information and Personal Information of enrolled Cardholders and to share relevant Cardholder Information for the Permitted Purposes in connection with VON. 
   • Additional privacy and data protection terms and conditions are addressed in the Visa Developer Platform API Terms of Use.
3. Offers: Organization acknowledges and agrees that Visa does not create, own, or control any of the offers made available through VON. All offers are sourced from third-party merchants, affiliate networks, or offer aggregators, and Visa acts solely as a distribution platform and provider of cashback rewards to eligible Cardholders, subject to offer qualification by Visa’s service provider(s). Merchants define the terms of each offer, including eligibility and exclusions, and Visa bears no liability for goods or services offered by such third parties, nor for any conduct or failure to act by merchants in relation to the offers presented. Offers may include links to merchant or other third-party websites and resources over which Visa has no control or responsibility. Visa does not guarantee the accuracy or completeness of any offer, product description, merchant details, or terms displayed in VON, and is not responsible for the availability, content, advertising, products, or other materials on or available from such merchant or third-party websites or resources. All correspondence or business dealings with, or participation in promotions of, merchants found on or through any Offer, including payment and delivery of related goods or services and any other terms, conditions, warranties, or representations associated with such dealings, are solely between the applicable Cardholder and merchant or such other third party. Visa will have no responsibility or liability for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods, or services available on or through any such merchant or third-party website or resource.
   • Organization acknowledges and agrees that Visa, and if elected by Organization, Organization itself, may earn commissions or other compensation from affiliate offers featured in VON. Organization is solely responsible for determining whether, and ensuring that, any required disclosures regarding affiliate commissions or compensation are made to Cardholders or other end users, in accordance with the Federal Trade Commission guidelines and any other Applicable Law. Visa shall have no responsibility or liability for Organization’s failure to make such disclosures.
4. Assumption of Risk: Organization assumes all risk associated with the integration, distribution, and promotion of offers to Cardholders through VON. Visa shall have no liability for:
   • Any offer (including, without limitation, the accuracy or completeness of any offer terms and conditions); or
   • Any consumer claims, disputes, or regulatory inquiries arising from any offer.
5. No Endorsement: Visa does not endorse or guarantee any offer presented through VON. You shall not represent to Cardholders that Visa is the source or guarantor of any offer.
6. Covenant Not to Sue: You agree that You shall not initiate, support, or participate in any legal action, claim, or proceeding against Visa arising out of or relating to the content, accuracy, fulfillment, or performance of any offer provided through VON. This covenant is a material condition of Visa’s provision of access to VON and shall survive termination of this Agreement.
