VisaNet Connect – Acceptance Product Terms

Overview. The processing services accessed via the VisaNet Connect – Acceptance APIs are provided by Visa to Visa acquiring financial institutions in accordance with the applicable Visa Core Rules and Visa Product and Service Rules and all other documentation concerning VisaNet Connect – Acceptance APIs provided by or available from Visa (including but not limited to the VisaNet Connect – Acceptance APIs Client Implementation Guide), each as may be amended by Visa from time to time. VisaNet Connect – Acceptance APIs enable VisaNet Processors of participating acquirers to enter payment requests directly into the Visa system for processing. Notwithstanding anything to the contrary in this Agreement, the parties agree and acknowledge that Your access to the VisaNet Connect – Acceptance APIs is provided by Visa in connection with the provision of processing services to Your sponsoring acquirer(s) and Visa is not providing an independent service to You in connection with the  VisaNet Connect – Acceptance APIs.   Visa’s processing of such payment transactions is governed by the Visa Core Rule and Visa Product and Service Rules. By executing this Agreement, You agree that it will comply with the requirements of this Agreement, the VisaNet Connect – Acceptance APIs Client Implementation Guide and all other documentation concerning the VisaNet Connect – Acceptance APIs provided by or available from Visa. 

1. If You are a Visa Member, the following Visa Product Terms apply to You:  You agree and acknowledge that it is responsible for all Transactions submitted via the VisaNet Connect – Acceptance APIs, including without limitation, (i) monitoring and reporting fraudulent activity for all Transactions submitted via the VisaNet Connect – Acceptance APIs; and (ii) ensuring that all environments and host software utilized by You and/or its VisaNet Processor(s) in connection with its access to the VisaNet Connect – Acceptance APIs are PCI DSS compliant, and will comply with all applicable requirements as set forth in the Service Documentation and the Implementation Guide.

2. In addition to the termination rights set forth elsewhere in this Agreement, Visa may terminate Your access to the VisaNet Connect – Acceptance APIs at any time:  (i) if You fail to pay Visa the applicable processing and implementation fees related to Transactions submitted via the VisaNet Connect – Acceptance APIs; (ii) if Visa believes that the VisaNet Connect – Acceptance APIs are being accessed/used and/or Transactions submitted/processed in violation of this Agreement and/or the Service Documentation; and/or (v) if You cease to be a licensed acquirer in the Visa system.

3. In the event of any express conflict between this Agreement, or the Visa Core Rules and Visa Product and Service Rules in connection with Your use of the VisaNet Connect – Acceptance APIs, the Visa Core Rules and Visa Product and Service Rules will govern.

4. Settlement Position Inquiry API. If applicable, You acknowledge and agree that the Settlement Position Inquiry API is meant to provide only an approximation of interim settlement positions, as calculated during periodical Visa internal aggregation points during the day. All reports provided reflect approximate interim numbers, until they are explicitly marked final and reported in the Visa Settlement System (VSS). The interim numbers are based on the latest relevant aggregation point for the specific region and do not necessarily reflect the current settlement position as of the time of the API call.

5. Any verifications facilitated through VisaNet Connect – Acceptance APIs should not be solely relied on for validation and are used at Your risk. Visa shall have no obligation or liability with respect to any decisions that You may base on the results of VisaNet Connect – Acceptance API calls.

6. You further acknowledges and agrees that verifications facilitated through VisaNet Connect – Acceptance APIs may depend on the actions and input by third parties, such as the relevant participating issuers, both with respect to timeliness and data accuracy. Visa does not have insight into or control over such third-party actions and input and disclaims any and all liability.

1. If you are not a Visa Member, the following Visa Product Terms apply to You:  Pre-Requisites. To request access to and participation in the VisaNet Connect – Acceptance APIs, You must:

o Arrange for the submission by Your sponsoring acquirer a VisaNet Connect – Acceptance APIs Processor Implementation Request and Authorization form executed by the Your sponsoring acquirer;

o Execute and maintain in effect the VisaNet Letter of Agreement;

o Complete PCI DSS certification, risk evaluations and testing as required by Visa, including as specified in the VisaNet Connect – Acceptance APIs Client Implementation Guide; and

o Be approved by Visa.

2. The parties acknowledge and agree that neither party shall process personal information (including Cardholder Information) as a data processor on behalf of the other party in connection with the VisaNet Connect – Acceptance APIs.

3. Notwithstanding Section 2 of this Agreement, all fees related to Your use of the VisaNet Connect – Acceptance API(s) will be billed to Your sponsoring acquirer.

4. In addition to the termination rights set forth elsewhere in this Agreement, Visa may terminate Your access to the VisaNet Connect – Acceptance APIs at any time:  (i) at the instruction of Your sponsoring acquirer; (ii) if the sponsoring acquirer is no longer an acquirer in the Visa system and/or no longer acting as Your sponsoring acquirer; (iii) if the Your acquirer fails to pay Visa the applicable processing and implementation fees related to Transactions submitted via the VisaNet Connect – Acceptance APIs; (iv) if Visa believes that the VisaNet Connect – Acceptance APIs are being accessed/used and/or Transactions submitted/processed in violation of this Agreement and/or the Service Documentation; and/or (v) if You ceases to be a VisaNet Processor and/or violates the terms of Your VisaNet Letter of Agreement.

5. In the event of any express conflict between this Agreement, the Your VisaNet Letter of Agreement or the Visa Core Rules and Visa Product and Service Rules in connection with Your use of the VisaNet Connect – Acceptance APIs, the VisaNet Letter of Agreement and Visa Core Rules and Visa Product and Service Rules will govern.
