Visa Recurrent Terms for Issuers

Product Terms for AP, CEMEA, NA (US only)

Pilot Program

Visa will make Visa Recurrent available to Company on a fee waived pilot basis for a period of one (1) month commencing on the date specified by Visa (the "Pilot Period"), solely for the purpose of testing, validating, and providing feedback on Visa Recurrent functionality. Company's participation is subject to the Agreement and the Visa Recurrent Pilot Plan provided separately to Company and incorporated herein by reference. Company agrees to adhere to the requirements set forth in the Visa Recurrent Pilot Plan, including but not limited to pre-launch certification, reporting, and feedback obligations.

Company acknowledges and agrees that Visa Recurrent is in a pre-general availability state and may contain defects, incomplete features, or functionality that differ materially from any general release. Visa may continue to develop and modify Visa Recurrent during the Pilot Period without prior notice to Company. Visa reserves the right to pause, suspend, or terminate the Pilot at any time, in its sole discretion.

Upon the date on which Visa Recurrent is rolled out generally across Visa’s client base (the “GA Effective Date”), Company's access will automatically convert to a fee-based subscription at the then-current rates published on Visa Access. Visa will provide Company with reasonable advance notice of the GA effective date. If there is a gap between the expiration of the Pilot Period and the GA Effective Date, Company's access will continue on the same fee-waived basis until the GA Effective Date.

General Terms

While cancellation requests can be shared with participating merchants, if that capability is activated by Company, blocking future payments via Visa Recurrent alone does not terminate or cancel the underlying service contract between a Cardholder and a merchant. Visa does not verify or fulfill any obligation of the Cardholder under the merchant’s terms, including the responsibility to follow the merchant’s required cancellation procedures. Cardholders remain responsible for all obligations to the merchant until the relevant service or subscription is properly canceled or expires.

Additional Visa Recurrent capabilities (such as subscription cancellation, pause features or lifecycle updates) depend on Company’s own offerings and the underlying commitments and actions of participating merchants, which determine the extent of capabilities that the respective merchant supports. Visa Recurrent acts solely as a conduit for Cardholder instructions to merchants that have integrated with the relevant API and does not enforce any changes to a merchant’s services. Even if the merchant has agreed to support any subscription management functionality, Company acknowledges that Visa has no control over whether any contract cancellation or other subscription management request initiated through Visa Recurrent is permitted under the applicable agreement between the cardholder and the merchant and honored at the merchant level.

Visa is not involved in the contractual relationship between any Cardholder and merchant or Company. Visa Recurrent provides technical capabilities and information to Company and participating merchants, but Visa does not control, manage, or become a party to Cardholder agreements with merchants or Company and Visa is not responsible for the actions of participating merchants.

Company is solely responsible for communicating with its Cardholders about any access to, use of and actions taken through Visa Recurrent. Company must obtain and document all necessary Cardholder authorizations, consents, or instructions before initiating any stop-payment, cancellation or other request to a merchant via Visa Recurrent. Company is responsible for the cardholder-facing implementation of Visa Recurrent, including any disclosures, notifications, instructions, or user experience presented to Cardholders in connection with Visa Recurrent. Company shall not misrepresent the effect of any Visa Recurrent action to the Cardholder. Company’s user interface, notifications, and terms should use precise language, including but not limited to clearly advising Cardholders when they must separately terminate their service directly with the merchant, as appropriate.

As a future capability, Visa Recurrent may be used in a network-agnostic manner to analyze and respond to transactions on non-Visa networks. In such cases, Company acknowledges that Visa Recurrent’s performance is dependent on the completeness, accuracy, and timeliness of transaction data provided by Company. Furthermore, Visa cannot block payments on non-Visa networks; instead, Visa Recurrent would provide a stop-payment advice or indicators based on the available data to Company, which Company would then be responsible for acting upon if appropriate. Company is responsible for ensuring that any non-Visa transaction data shared is provided to Visa and Visa can use such data for Visa Recurrent lawfully and in compliance with all applicable network rules (including an appropriate authorization from the relevant network, if applicable) and Laws, including privacy requirements and any applicable Cardholder marketing preference or opt-out obligations.

If Visa Recurrent or any of its features involve use of Visa Transaction Exchange (VTEX), Company must comply with all applicable VTEX Documentation, which is hereby incorporated by reference. Visa may make Visa Recurrent available through, or integrate Visa Recurrent with, additional access channels or platforms available to Company from time to time. If Company elects to access or use Visa Recurrent through any such other access channel or platform, Company must comply with all documentation, technical specifications, operational requirements, and other terms applicable to that access channel or platform, as made available or updated by Visa from time to time and which are hereby incorporated by reference.

Visa Recurrent may from time to time interoperate with, receive information from, transmit information to, or make available functionality supported by third party providers or other Visa products and services that offer cancellation, subscription management, merchant identification, transaction categorization, data enrichment, or related services, including providers used or authorized by participating merchants in connection with Visa Recurrent. Except for Visa’s express obligations under the Agreement, Visa does not control and is not responsible for any such third party provider’s services, data, availability or performance, or for whether any merchant or third party provider accepts, processes or implements any cancellation, pause, lifecycle update, data enrichment, or other subscription management request. Company remains responsible for all Cardholder-facing disclosures, consents, instructions, notifications, and user experiences relating to such functionality.

Visa Recurrent identifies likely subscription or recurring transactions based on patterns in available data (including information provided by Company and any unique reference identifiers for recurring relationships), including through use of AI; as a result, not all relevant transactions may be flagged and some non-subscription transactions may be incorrectly flagged. Company acknowledges that Visa Recurrent’s performance is contingent on the completeness, accuracy, and timeliness of data provided by Company, as well as on the actions, authorizations, and requirements of relevant third parties (such as other payment networks) and Company, over which Visa has no insight or control.

Visa Recurrent Terms for Merchants

Product Terms for NA (US only)

In these Terms, “Company” refers to the merchant, or the acquirer or merchant partner acting on the merchant’s behalf, as applicable. Where obligations apply specifically to a merchant, acquirer, or merchant partner, this is stated expressly.

Pilot Program

Visa will make Visa Recurrent available to Company on a fee waived pilot basis for a period of one (1) month commencing on the date specified by Visa in the Visa Recurrent Pilot Plan (the "Pilot Period"), solely for the purpose of testing, validating, and providing feedback on Visa Recurrent functionality.

While cancellation requests can be shared with participating merchants, if that capability is activated, blocking future payments via Visa Recurrent alone does not terminate or cancel the underlying service contract between a Cardholder and a merchant. Visa does not verify or fulfill any obligation of the Cardholder under the merchant’s terms and the merchant remains responsible for honoring its contractual obligations to Cardholders, including processing valid cancellation requests in accordance with merchant’s terms of service.

Additional Visa Recurrent capabilities (such as subscription cancellation, pause features or lifecycle updates) depend on the respective issuer’s offerings and the underlying commitments and actions of the merchant. Visa Recurrent acts solely as a conduit for delivering Cardholder recurring order management requests to Company. Visa has no control over whether any request initiated through Visa Recurrent is permitted under the applicable agreement between the cardholder and the merchant and honored at the Cardholder level.

Visa is not involved in the contractual relationship between any Cardholder and the merchant or applicable issuer. Visa Recurrent provides technical capabilities and information to Company and the relevant issuers, but Visa does not control, manage, or become a party to Cardholder agreements with merchants or issuer and Visa is not responsible for the actions of participating Cardholders or issuers.

Visa Recurrent does not independently determine if a stop instruction should be established, modified, or cancelled. Such determinations remain the sole responsibility of the applicable Cardholder, and Visa does not guarantee that any particular transaction outcome will result. Furthermore, Visa Recurrent does not determine

whether a Cardholder is entitled to cancel a recurring service, as this depends on the underlying relationship between the Cardholder and the merchant.

As a future capability, Visa Recurrent may be used in a network-agnostic manner to analyze and respond to transactions on non-Visa networks. In such cases, Company acknowledges that Visa Recurrent’s performance is dependent on the completeness, accuracy, and timeliness of transaction data provided by the relevant issuer. Furthermore, Visa cannot block or lift blocks for payments on non-Visa networks; instead, Visa Recurrent would provide a stop-payment or unblocking advice or indicators based on the available data to the issuer, which the issuer would then be responsible for acting upon if appropriate.

Visa Recurrent may from time to time interoperate with, receive information from, transmit information to, or make available functionality supported by third party providers or other Visa products and services that offer cancellation, subscription management, merchant identification, transaction categorization, data enrichment, or related services. Except for Visa’s express obligations under the Agreement, Visa does not control and is not responsible for any such third party provider’s services, data, availability or performance.

Company acknowledges that Visa Recurrent’s performance is contingent on the completeness, accuracy, and timeliness of data provided by the issuer and the merchant, as well as on the actions, authorizations, and requirements of relevant third parties (such as other payment networks) and issuer, over which Visa has no insight or control.

Visa may deliver notifications through multiple channels and delivery mechanisms over time. Company’s obligations and participation requirements apply regardless of how the notification is received. If Company elects to access or use Visa Recurrent through any such other access channel or delivery mechanism, Company must comply with all documentation, technical specifications, operational requirements, and other terms applicable to that access channel or delivery mechanism, as made available or updated by Visa from time to time and which are hereby incorporated by reference.

Company acknowledges and agrees that Visa Recurrent uses information available through Visa systems to identify and support recurring payment relationships. In connection with providing, administering, supporting, and invoicing for Visa Recurrent, Visa may use and disclose information relating to recurring payment relationships, service usage, billing, reporting, and operations to participating merchants and their authorized acquirers, payment facilitators, aggregators, resellers, billing administrators, service administrators, and other authorized representatives.

Company’s Obligations

When Company receives a cancellation or other recurring order management notification through Visa Recurrent, Company must process the request and provide a confirmation on the status of the recurring order to both the Cardholder and Visa within the timeframe specified by Visa. For acquirers or merchant partners, this includes the obligation to forward the request to the relevant merchant and provide the merchant’s response in a timely manner.

If the relevant merchant participates in a redirect experience, Company must provide a URL that takes the Cardholder directly into a cancellation or retention journey related to their recurring service. Generic homepage URLs must not be used. In addition, Company must provide a timely confirmation on the status of the recurring order to both the Cardholder and Visa after a Cardholder uses the redirect experience.

Company must participate in Visa Recurrent in good faith and must not use the Visa Recurrent experience to bypass or undermine Cardholder-requested payment blocks, cancellation requests, or other subscription management actions.

If Company provides a retention outcome, it must reflect a genuine retention effort and Cardholder engagement. Retention responses must not be submitted solely to satisfy a service response requirement.

When Company participates in receiving notifications through Visa Recurrent, Company must also participate in confirming the outcome and must refrain from attempting to initiate payment for the recurring order during the applicable response period.

Company must correctly submit each transaction relating to a recurring order using the appropriate indicators required by the Visa Rules, including the MIT framework, to support accurate recurring order identification.

Acquirers and merchant partners must ensure that a merchant does not have access to another merchant’s, acquirer’s or third party’s recurring order data for a Cardholder, including but not limited to a competitor’s data.

Company must comply with all Applicable Data Protection Laws and Regulations in connection with Company’s participation in Visa Recurrent.

Company must not disclose information associated with Visa Recurrent, other than data relating to Company’s own Cardholders and/or merchants, as applicable, to any other party, unless otherwise authorized by Visa.

Additional Acquirer and Merchant Partner Responsibilities

Where Company is an acquirer or merchant partner participating in Visa Recurrent on behalf of one or more merchants, the following additional obligations apply:

(a) Company may access and use Visa Recurrent solely for the purpose of providing services on behalf of the relevant merchant(s). Information provided to Company through Visa Recurrent may be used solely for purposes of Company’s authorized service relationship with the applicable merchant and shall not be used: (i) for competitive purposes; (ii) to identify, analyze, or derive insights regarding unrelated merchants, customers, acquiring relationships, or business activities; or (iii) except as necessary to provide services to the applicable merchant or as otherwise permitted under the Agreement or applicable law.

(b) Company represents and warrants that the merchant has expressly authorized Company to receive the information identified hereunder, which may include billing, reporting, usage, and operational information relating to Visa Recurrent, and has authorized Visa to provide such information to Company. Visa may rely on such representation without further verification. Visa will provide such information only to the merchant or to Company as the entity designated by the merchant to receive such information on its behalf.

(c) Company is responsible for all communications with the merchant relating to Visa Recurrent, including the timely and accurate relay of cancellation notifications, retention outcomes, status confirmations, and any other information exchanged through the service. Notwithstanding the foregoing, Visa reserves the right to communicate directly with the merchant at Visa’s discretion.

(d) Company is responsible for the completeness, accuracy, and timeliness of all information provided to Visa through Visa Recurrent on behalf of the merchant, including transaction data, status updates, and any other data submitted in connection with the service.

(e) Company is responsible for the acts and omissions of each merchant on whose behalf it participates in Visa Recurrent, including the merchant's compliance with these Terms, to the same extent as if Company had taken such action (or failed to act) itself.

(f) Company must ensure that each merchant on whose behalf it accesses Visa Recurrent has agreed to comply with all applicable obligations under these Terms before enrolling that merchant in the service.
