VISA ALIAS DIRECTORY SERVICE PRODUCT TERMS

As a condition of accessing or participating in the Visa Alias Directory Service, whether as  a Visa Member or non-Member, the following Visa Alias Directory Service Product Terms (“Product Terms”), as may be modified from time to time, apply to You and govern Your participation in and use of the Alias Directory Service.

1.Definitions. Capitalized terms used and not otherwise defined in the Visa Developer Center Terms of Use or herein have the meanings given to them in Visa Alias Directory Service Operating Guide (“the ADS Guide”). 

2.Visa Alias Directory Service documentation and Visa Rules. As a condition of accessing or participating in the Visa Alias Directory Service, You will comply, and will ensure that Your participation in and use of the Visa Alias Directory Service and all related solutions, and the participation in and use enabled by You, by Your Clients, and Your Participant Third Parties, complies with the (i) Visa Rules (including the Data Framework), (ii) Visa Developer Center Terms of Use, (iii) ADS Guide and (iv) ADS Documentation, (collectively, “Applicable Documentation”) as may be updated, supplemented, and amended from time to time by Visa, and are hereby incorporated by reference. In the event of any apparent conflict between the Visa Rules and these Product Terms, the Visa Rules will govern to the extent of the conflict.

3.Compliance by Your Clients and Your Participant Third Parties. As a condition of accessing or participating in the Visa Alias Directory Service, You shall not allow any of Your Clients or Your Participant Third Parties who do not fully comply with the terms and obligations set forth in the Applicable Documentation to participate in the Visa Alias Directory Service and shall promptly terminate any such applicable Client’s or Third Party’s participation in the Visa Alias Directory Service for non-compliance. While You are solely responsible for ensuring compliance by Your Clients and Your Participant Third Parties, if Visa separately identifies any non-compliance with any terms and obligations set forth in the Applicable Documentation by any of Your Clients or Your Participant Third Parties, You shall promptly terminate any such Client’s or Third Party’s participation in the Visa Alias Directory Service, upon Visa’s request. If You are an Visa Alias Directory Service enabler and/or working with Your Third Party, You agree to (i) have a separate written agreement with Your Client or Your Third Party, which flows-down Visa Alias Directory Service obligations and requirements to Your Client or Your Third Party, in accordance with the Applicable Documentation; (ii) cooperate with Visa to enforce such obligations and requirements, and (iii) notify Visa immediately in writing upon any termination or material modification of that separate written agreement.

4.Visa Alias Directory Service. The Visa Alias Directory Service is a service offered by Visa whereby You and/or Your eligible clients and/or eligible third parties may have the ability to (i) create or enable customers to create an Alias, as defined in the ADS Guide, for the purpose of enabling the receipt of funds; (ii) update, lookup, search, suspend, or delete an Alias; (iii) initiate payments using an Alias; (iv) link Aliases to Payment Credentials, (v) manage the lifecycle of an Alias; and/or (vi) resolve an Alias to receive the associated Payment Credential.

5.Fees.  In connection with the Visa Alias Directory Service, unless otherwise agreed by the parties in writing, You shall pay to Visa, and Visa shall charge to You, any fees and other amounts in accordance with the rates specified in the Visa Fee Schedule for the region(s) in which the Visa Alias Directory Service is provided to You. 

6.Data Privacy and Information Security. You shall comply with all data privacy and information security obligations set forth in the Applicable Documentation. If You are a Visa Alias Directory Service enabler, You shall also ensure any of Your applicable Clients, Your Participant Third Parties and third parties, comply with the data privacy and information security obligations set forth in the Applicable Documentation.

7.Visa Alias Directory Service Participant Obligations.

7.1.Data Accuracy & Completeness. You shall ensure the accuracy and completeness of all information and data provided to Visa in connection with the Visa Alias Directory Service.

7.2.Storage of Aliases and PANs. You shall use Aliases solely in connection with Your use of the Visa Alias Directory Service. You shall not store or share Aliases, except You may store Aliases (i) issued by You to the extent necessary to provide support to Your users related to the Visa Alias Directory Service and (ii) as permitted by the Visa Rules or ADS Documentation. You shall not store or share either part of or the entire Visa PAN linked with the recipient Alias with any of Your Participant Third Parties or Your Clients, except as necessary to complete the transaction. In addition, You shall not allow Your Clients to store or share the Visa PAN linked with the recipient Alias except as necessary to complete the transaction.

8.Data Sharing Authorization. You authorize Visa to share data elements, which may include, but are not limited to, Alias, first name, last name, and linked Visa PAN associated with an Alias to the extent necessary to facilitate Your, Your Clients and/or Your Participant Third Parties use of the Visa Alias Directory Service.  

9.Modification of Services. Visa may modify any of the Visa Alias Directory Service capabilities, features or functionalities as described in the Applicable Documentation upon written notice to You, for which email or general announcement via the Visa Developer Center will suffice.

10.Visa Network.  You understand that and shall ensure that any of Your Clients and Your  Participant Third Parties, as applicable, understand that Visa provides a network and desires to provide the Visa Alias Directory Service to enable partners, end users, and others (“Network Participants”) to benefit widely from the network, including through products and services related to the Visa Alias Directory Service or based upon the Applicable Documentation.  In partial consideration for participation in and benefits resulting from the Visa Alias Directory Service, You agree not to, and shall ensure Your Clients and Your Participant Third Parties, as applicable, agree not to (and agree not to assist or provide consent for others to) assert against Visa, its Affiliates, or other Network Participants, any patent infringement claim involving any activity regarding the Visa materials, Visa Alias Directory Service, VisaNet and any other information, products, services, or technology provided by Visa or Visa Affiliates under these Product Terms.

11.Patents.  You shall not use and shall ensure that any of Your Clients and Your Participant Third Parties, as applicable, shall not use any Confidential Information for any patents; without limiting any other rights or remedies of Visa, if You, Your Clients or Your Participant Third Parties, as applicable, use or disclose any Confidential Information for any patents or files or prosecutes any patent applications for inventions based on any Confidential Information (collectively, “Patents”), Visa and its  Affiliates shall have, and are hereby granted, a fully paid-up, royalty-free, worldwide, irrevocable license  to exercise all rights under such Patents, including the right to grant and authorize sublicenses.

12.Order of Precedence. These Product Terms apply in addition to, and do not replace or supersede the Visa Rules, the Visa Developer Center Terms of Use and the Visa Alias Directory Service Operating Guide and other ADS Documentation. In the event of any conflict or inconsistency among the foregoing documents, the order of precedence shall be as follows: (i) the Visa Rules, (ii) the Visa Alias Directory Service Operating Guide and other ADS Documentation, (iii) these Product Terms and (iv) Visa Developer Center Terms of Use. Nothing in these Product Terms shall be deemed to amend, waive, or supersede any requirement of the Visa Rules.
