Visa Product Terms for Visa Accept
These Visa Accept Product Terms are the Visa Product Terms for Visa Accept (the “Visa Accept Product Terms”) and apply to the Visa Products (as such term is defined in the Agreement) for Visa Accept (the “Service”). Capitalized terms used but not defined in these Visa Accept Product Terms have the meanings set forth in the Agreement or applicable law.
1. Use of Visa Accept.
1.1 Authorized Participants. Visa Accept enables Visa Issuers and certain other Visa-authorized participants expressly set forth in the Documentation to offer to Visa Debit and Visa Reloadable Prepaid Cardholders who also are sellers of goods and services, the option to accept payment from their customers for purchases through the Issuer’s mobile banking Application(s) or such other Visa-authorized participant’s Application(s) (e.g., third-party digital wallets).
1.2 Scope. Visa Accept may NOT be offered for use with Visa credit card accounts. Only Visa Debit and Visa Reloadable Prepaid Cardholders may participate in Visa Accept with their corresponding accounts.
1.3 Geography. Use of Visa Accept is permitted for both Domestic Transactions (as defined in the Visa Rules), and International Transactions (as defined in the Visa Rules) subject to market availability and any further requirements set forth in the Visa Rules and applicable Laws and regulations.
1.4 Evaluation of Visa Accept. You may use the Licensed Components, Test Environment, Test Data and Materials provided by or on behalf of Visa or its Affiliates for Visa Accept pursuant to the licenses that Visa grants You under the “Evaluation License” section and “License for Materials” section of the Agreement.
1.5 Production Use of Your Application. Any use of Visa Accept other than discussion and evaluation, including in a production environment, will be subject to approval by Visa as set forth in the “Solution Approval” section of the Agreement. In seeking any Solution Approval, You will comply with Visa’s testing and approval process and requirements for Visa Accept.
1.6 Changes. The features, performance and requirements of Visa Accept, including the requirements of the Documentation, are expected to change significantly as Visa Accept evolves (including through the application of fees for services that Visa may initially provide at no charge). Without limitation of the generality of the “Modifications” section of the Agreement, the Visa Accept Product Terms and the Documentation will change over time; and in any event, Your involvement with Visa Accept and all related solutions and activities are and will continue to be governed by and be subject to the Agreement, the Visa Accept Product Terms and the Documentation.
1.7 License to Visa for Visa Accept. Further to the license You grant Visa under the “Licenses to Visa” Section in the Agreement, You grant Visa and Visa Affiliates a non-exclusive, non-transferable license to use Your Trademarks, Your Applications and to review the code in Your Applications to provide and improve Visa Accept.
1.8 Compliance with Terms and Documentation. Your access to and use of Visa Accept is subject to the Agreement (including these Visa Accept Product Terms), the Documentation and the Visa Rules. Documentation includes without limitation the Visa Accept Services Documentation and Visa Accept Implementation Guide (which titles may be revised at any time at Visa’s sole discretion). If Visa grants Solution Approval for an Application for Visa Accept, these Visa Accept Product Terms will apply with respect to such Visa-approved Application, including any access to or use of Visa Accept, and accordingly, Your Application must comply with the Documentation. Use of Visa Accept is limited to the payment networks indicated in the Documentation.
2. Visa Accept Issuer and Agent Responsibilities.
2.1 Visa Accept is available to (i) Issuers (as defined in the Visa Rules), and (ii) Agents that have a Sponsor. Visa Issuers and Agents (when acting on behalf of their Sponsor) must comply with the Visa Rules at all times.
2.2 Issuer. If You are a Visa Issuer, You may use Visa Accept without obtaining a separate Acquirer license from Visa (in those countries where Visa requires a separate Visa issuing and acquiring licenses) so long as You comply with all relevant Acquirer requirements set forth in the Visa Rules as if You were a licensed Visa Acquirer. For clarity, Issuers using Visa Accept are subject to the Visa Rules applicable to Acquirers and treated as both an Issuer and Acquirer.
2.2.1 Your acquiring role pursuant to Your participation in the Service is limited to Visa Accept only and does not enable You to participate in merchant acquiring activity outside of Visa Accept nor remove Your need to obtain a separate acquiring license from Visa for such activity (if applicable).
2.2.2 Activation and continued use of Visa Accept are subject to Your compliance with the Visa Rules and all applicable Laws and regulations, including, without limitation, any local regulatory licensing, data protection, applicable anti-money laundering (“AML”), know your customer (“KYC”), and know your business (“KYB”) obligations in each market in which You operate. You are responsible for satisfying all onboarding, verification, and licensing requirements in each market in which You operate. Visa may suspend or terminate Your access to Visa Accept in the event of non-compliance with any such requirements.
2.2.3 You must maintain Your Visa Membership in good standing at all times. You may verify Your status in the Client Profile tool on Visa Access.
2.2.4 You must ensure that all relevant use restrictions are properly and reasonably informed to Your Cardholders. You are solely responsible for providing Cardholders with all relevant information for the use and operation of Visa Accept.
2.3 Agent. The following terms apply if You are an “Agent” (as defined in the Agreement):
2.3.1 Prior to any access to the Service, You must first ensure that You have a Visa Member issuing financial institution acting as Your BIN sponsor (“Sponsor”) to support Your activities relating to the Service. You shall ensure Your Sponsor (a) is approved by Visa to participate in the Service; and (b) registers You as a Third-Party Agent (as defined in the Visa Rules) for purposes of the Service.
2.3.2 You must also ensure that prior to any access to the Service, You provide to Visa a copy of a written document signed by the Sponsor stating that (a) You are acting as a Third Party Agent of Sponsor, (b) the Sponsor assumes full liability for and indemnifies Visa for Your acts or omissions in connection with the Service; and (c) the Sponsor remains responsible for all Member responsibilities under the Visa Rules and applicable Laws and regulations, including but not without limitation, any local regulatory licensing, applicable AML, KYC, KYB obligations.
2.3.3 If, for any reason, an applicable Sponsor ceases to be a Visa Member or no longer sponsors Your use of the Service, then, as it pertains only to Your activities enabled by the applicable Sponsor, Your right to both access and use the Service and Documentation shall immediately terminate.
3. Service Operations with Third Parties; Interoperability with Other Networks.
3.1 Visa may, as part of Visa Accept, enable Your eligible Cardholders to enroll and accept payments via Visa Accept through Visa-authorized third-party products and services including third-party wallets, gateways, and processors (“Third-Party Solutions”). Unless You opt out, Visa will include You in Third-Party Solutions available in Your Territory. As such, Your eligible Cardholders will be able enroll and perform payment acceptance directly on such a Third-Party Solution.
3.2 Your participation in any Third-Party Solution may be subject to additional terms and conditions (“Third-Party Terms”), which may vary depending on the type of Third-Party Solutions applicable. Where any such Third-Party Terms apply, Visa will modify the Visa Accept Product Terms and/or the Documentation to include these Third-Party Terms and will provide you with prior written notice of the modification. After any such modification, Your continued use of Visa Accept constitutes Your acceptance of the Third-Party Terms. If You do not wish to participate in a Third-Party Solution and/or do not agree to the applicable Third-Party Terms, You must immediately contact Visa to communicate this and stop participating in that Third-Party Solution or accessing any related Materials.
3.3 Participation in a Third-Party Solution may require You to enter into an agreement directly with the provider of that Third-Party Solution (the “Solution Provider”). Nothing in this Agreement prevents You from entering into an agreement directly with a Solution Provider to secure specific product or timing commitments, marketing arrangements, data use rights and formats, and other commercial terms with respect to Your participation in a Third-Party Solution so long as any such agreement does not conflict with these Product Terms, the Agreement, the Documentation, or the Visa Rules (all of which shall control over such agreement in the event of a conflict). In the event that You enter into any such agreement with a Solution Provider relating to a Third-Party Solution, You acknowledge and agree that Visa shall not be responsible for monitoring the terms of such agreement or administering any provisions of such agreement.
3.4 To participate in Visa Accept, You may be required to enable third-party payment networks (if applicable and subject to market availability). As part of such enablement, You may be subject to additional third-party terms and requirements, as well as performance of any activities that may be required to satisfy interoperability requirements set forth in the Documentation.
4. Flow-Down Obligations.
4.1 You acknowledge and agree that, as a condition of participating in Visa Accept, You may be required to provide certain terms, disclosures, or notices (“Flow-Down Terms”) to Cardholders. Such Flow-Down Terms may be necessary to ensure compliance with applicable Laws, regulations, Visa Rules, Service requirements, and contractual obligations.
4.2 You shall ensure that all required Flow-Down Terms are communicated to Cardholders in a clear, accurate, and timely manner, and that Cardholders are informed of any relevant use restrictions, fees, rights, and obligations associated with Visa Accept. Visa reserves the right to require You to update Flow-Down Terms from time to time, and You shall promptly implement any such updates as directed by Visa.
5. Data Privacy. Your use of the Service is subject to the Visa Rules applicable to Your role (including Issuer, Acquirer, Agent, or other sponsored participant), as set out in Section 2 of these Visa Accept Product Terms. In the event of a conflict, the Visa Rules will govern with respect to the collection, use, or processing of Personal Information in connection with Your use of the Service. Where the Visa Rules do not address the Service, including any Processing activities and types of Personal Information Processed for the Service, the Agreement will govern solely with respect to the Processing obligations related to Your use of the Service.
5.1 Authorization to Process. Visa acts as a processor for those activities performed on Your behalf to support seller enrollment, onboarding, and use of the Service. Visa will perform any Processing activities in accordance with the Schedule: Additional Visa Developer Platform Privacy & Data Protection Terms for Visa Products, Section 3 Processor Obligations to the Agreement, incorporated in full by reference herein.
5.2 Furthermore, You acknowledge that Visa may Process Personal Information as an independent controller for certain purposes related to supporting network-level services, including fraud monitoring, risk management, the provisioning or management of acceptance credentials, or other Processing necessary to operate, secure, or enhance, the Visa payment system and related services, functionalities, and products. Nothing in these Visa Accept Product Terms expands Visa’s independent controller role beyond what is required to support such network-level purposes.
5.3 Cross-Border Transfers. If cross-border transfer requirements or mechanisms apply in a jurisdiction where You use the Service and such requirements are not fully addressed in the Visa Rules, the Agreement, or these Visa Accept Product Terms, then You agree to work with Visa in good faith to execute additional terms reasonably necessary to comply with applicable law.
5.4 You acknowledge that operation of the Service requires the collection and use of certain seller related Personal Information, including, without limitation:
5.4.1 seller identity and contact information (such as name, email address, mobile number, and address);
5.4.2 device and Application identifiers, including NFC or SDK related device data necessary to enable acceptance functionality; and
5.4.3 seller onboarding metadata necessary to administer eligibility or program controls (such as onboarding dates, token issuance counts, or prior blocking status).
Visa will Process such Personal Information as set out herein.
6. Fees. Your use of Visa Accept will be subject to, and contingent upon Your payment of, the fees set forth in the Fee Schedule (if applicable).
