Visa Digital Enablement Lite App Product Terms

If you are a Visa Member, the following Visa Product Terms apply to You:

1. For the purposes of the Visa Digital Enablement Lite App, references in the Agreement (other than in this Section) to access to and use of an “API” or “APIs”, “API/s”, “App”, “Apps” or “App/s” in general are deemed to mean access to and use of the Visa Digital Enablement Lite App capabilities in general.

2. Your access and use of the Visa Digital Enablement Lite App capabilities is subject to (i) the Visa Digital Enablement Lite App service documentation, (ii) Your compliance with the Visa Rules, (iii) Your current participation in the Visa Token System through an effective Visa Digital Enablement Program Issuer Participation Agreement, Visa Digital Enablement Program Enrollment Form (for Issuers) or other agreement in relation to  Your participation in the Visa Digital Enablement Program and the Visa Token Service (“VDEP Agreement”) and (iv) Your active enrollments for those digital wallets or other end points and Issuing Identifier ranges for which You intend for Visa to deploy the Visa Digital Enablement Lite App capabilities, as separately approved by Visa (where such approval may require Your attestation of a separate agreement with the respective digital wallet provider, endpoint provider or Visa, an agreement through the Visa Token Service, or other requirements, as applicable). 

3. Visa agrees to host the Visa Digital Enablement Lite App on Your behalf, while You are responsible for submitting the corresponding file to the Apple and/or Google play store and marketing the solution to its Cardholders. You are further responsible for hosting and generating a URL for each participating Cardholder using a key previously provided by Visa, as well as providing such URL to the Cardholder, in order for the Cardholder to launch the respective app clip or instant app on its device, creating a connection to Visa.

4. For the purpose of providing the Visa Digital Enablement Lite App capability, You hereby authorize Visa to deploy the Visa Digital Enablement Lite App on its behalf for the purpose of enabling the enrollment of Cardholder accounts participating in Your program that are identified by You, within the relevant Card Portfolios/BIN Ranges by verifying eligibility of the relevant digital wallet and/or to enable provisioning of a token for such cardholder accounts through the relevant digital wallets.

5. Visa may modify any of the Visa Digital Enablement Lite App capabilities, features or functionalities upon 30 days written notice to You, for which email or VBN (Visa Business Notification) will suffice.

6. You must ensure that the Visa Digital Enablement Lite App is used only for card accounts which have undergone and passed customer verification (KYC) as required by applicable Law and, if applicable, with such partners that have undergone and passed OFAC checks.  You will also obtain all Cardholder consents and provide all Cardholder notifications and disclosures necessary with respect to the Visa Digital Enablement Lite App, including but not limited to notifications in order to provide Visa with the relevant data and enable Visa to perform its obligations under the Agreement. You will create and display the terms of use for the Apps and the corresponding privacy policy in compliance with applicable Laws and are responsible for any and all Cardholder service, technical support or training. The relevant terms of use must include, among other terms, that (i) Cardholders release Visa and its Affiliates from any liability in connection with the Visa Digital Enablement Lite App and (ii) the service is provided to the Cardholder on an “AS IS” and “as available” basis.

7. You hereby authorize Visa to display any available Card art (including Your trademarks, service marks, logos, and digital Card art) that You have provided to Visa for use with the Visa Digital Enablement Lite App.

8. Visa may agree to offer optional additional Visa Digital Enablement Lite App, features or functionalities to You in the future. Such future capabilities may, in Visa’s sole discretion, require mutually executing additional amendments to the Agreement and may be subject to additional pricing, terms, third party agreements, as well as host/processor/issuer considerations which, if applicable, may be addressed in the additional amendments and/or future versions of the relevant service documentation.

9. At least twice in each calendar year, You must perform an update to Your Application that accesses or uses this Visa Product. No more than six months may pass between such updates. Such updates may require additional branding collateral from You ahead of the update as described within the Visa Digital Enablement Lite App’s Documentation.

10. Visa may remove support for mobile devices where the operating system version and/or device hardware is no longer supported by the manufacturer. Such communication will be updated within the Visa Digital Enablement Lite App service documentation.

11. You may be asked to update the Visa Digital Enablement Lite App within a short time period due to an emergency update related to security or a third party modification which could negatively impact the use of the Apps. Such emergency updates should be applied as soon as possible or within the time frames provided by Visa. Visa reserves the right to suspend support of prior versions of the Apps and Visa will discontinue support for versions which have been updated or upgraded 12 months after the update or upgrade.

12. You acknowledge and agree that several of the capabilities enabled through Visa Digital Enablement Lite App depend on the actions and input by third parties, such as the relevant digital wallets or other third party end points, both with respect to timeliness and data accuracy. Visa does not have insight into or control over such third party actions and input and disclaims any and all liability.

13. Visa will begin billing You for Visa Digital Enablement Lite App fees commencing the month in which the Project Kick-Off Meeting falls.

If You are not a Visa Member, the following Visa Product Terms apply to You:

1. For the purposes of the Visa Digital Enablement Lite App, references in the Agreement (other than in this Section) to access to and use of an “API” or “APIs”, or “API/s” in general are deemed to mean download, access to and use of the Visa Digital Enablement Lite App Capabilities in general.

2. Your access to, use, and/or distribution of the Visa Digital Enablement Lite App capabilities is subject to the Visa Digital Enablement Lite App service documentation, the Visa Rules and limited to actions on behalf of and subject to sponsorship and approval by a Visa Issuer that i) is a current participant in the Visa Token System through an effective VDEP Agreement or an equivalent agreement enabling participation in the Visa Token System and (ii) has active enrollments for those digital wallets, other endpoints and Issuing Identifier ranges for which You intend for Visa to deploy the Visa Digital Enablement Lite App capabilities, as separately approved by Visa (where such approval may require Issuer’s attestation of a separate agreement with the respective digital wallet provider, an agreement through the Visa Token System, or other requirements, as applicable).

3. Visa agrees to host the Visa Digital Enablement Lite App on Your behalf, while You are responsible for submitting the corresponding file to the Apple and/or Google play store and marketing the solution to the Cardholders.

4. During implementation, You may choose between several options with regards to URL generation and provisioning of the URL to the Cardholder in order for the Cardholder to launch the respective app clip or instant app on its device, creating a connection to Visa: a) You host and generate a URL for each participating Cardholder using a key previously provided by Visa, and provides such URL to the Cardholder; or b) Visa generates the URL on Your behalf and either You or Visa provides it to the Cardholder. As applicable in accordance with its choice, You are responsible for Your respective action items and for providing Visa with the necessary information, authorizations and consents to enable Visa to perform its obligations. For the purpose of providing the Visa Digital Enablement Lite App capability, You hereby authorize Visa to deploy the Visa Digital Enablement Lite App on Your behalf for the purpose of enabling the enrollment of Cardholder accounts participating in Your or the sponsoring Issuer’s program that are identified by You, within the relevant Card Portfolios/BIN Ranges by verifying eligibility of the relevant digital wallet and/or to enable provisioning of a token for such cardholder accounts through the relevant digital wallets.

5. Prior to any access and use of the Visa Digital Enablement Lite App, You must provide Visa with a written agreement between You and a Visa Member that makes You an Agent for the use of this Visa Product, completed and signed by the sponsoring or integrating issuer (“Sponsorship Agreement”).

6. Visa may modify any of the Visa Digital Enablement Lite App capabilities, features or functionalities upon 30 days written notice to You, for which email or VBN (Visa Business Notification) will suffice.

7. In addition to a Sponsorship Agreement from each Issuer, You are required to provide Visa with current lists of customers utilizing the Visa Digital Enablement Lite App.  Visa reserves the right to ask for such updated lists from time to time.

8. In addition to the terms of this Agreement, You are obligated to comply with all applicable provisions of the sponsoring Issuer’s VDEP Agreement and the Visa Rules as if You were the Issuer under these terms, as well as with the VisaNet Letter of Agreement, as applicable. For Issuer Program Managers, Integrators and Issuer Processors, this includes compliance with PCI DSS standards. For Issuer Partners and Distributors, PCI DSS standards need to be complied with if the Issuer Partner or Distributor has access to Cardholder Information.

9. You may access and use the Visa Digital Enablement Lite App capabilities only for card accounts which have undergone and passed customer verification (KYC), following appropriate Cardholder and/or authorized user authentication and, if applicable, with such partners that have undergone and passed OFAC checks.  You or Your sponsoring Issuer will also obtain all Cardholder consents and provide all Cardholder notifications necessary in order to provide Visa with the relevant Card data and enable Visa to perform its obligations under the Agreement.  You will create and display the terms of use for the Apps and the corresponding privacy policy in compliance with applicable Laws and is responsible for any and all Cardholder service, technical support or training. The relevant terms of use must include, among other terms, that (i) Cardholders release Visa and its Affiliates from any liability in connection with the Visa Digital Enablement Lite App and (ii) the service is provided to the Cardholder on an “AS IS” and “as available” basis.

10. You hereby authorize Visa to display any available Card art (including Your and/or Issuer trademarks, service marks, logos, digital Card art provided by You) that You have provided to Visa for use with the Visa Digital Enablement Lite App.

11. You are responsible for use of the Visa Digital Enablement Lite App in compliance with applicable Laws.

12. Visa may agree to offer optional/additional Visa Digital Enablement Lite App capabilities, features or functionalities to You or Your Issuers in the future. Such future Visa Digital Enablement Lite App capabilities may, in Visa’s sole discretion, require mutually executing  additional amendments to the Agreement and may be subject to additional pricing, terms, third party agreements, as well as host/processor/issuer considerations which, if applicable, may be addressed in the additional amendments and/or future versions of the relevant service documentation.

13. You agree to participate and perform a minimum of one (1) App updates across all supported channels within each single calendar year. Each App update should not exceed twelve (12) months from the previous App update. App updates may require additional branding collateral from You ahead of the update as described within the Visa Digital Enablement Lite App service documentation.

14. Visa may remove support for mobile devices where the operating system version and/or device hardware is no longer supported by the manufacturer. Such communication will be updated within the Visa Digital Enablement Lite App service documentation.

15. You may be asked to update the Visa Digital Enablement Lite App within a short time period due to an emergency update related to security or a third party modification which could negatively impact the use of the Apps. Such emergency updates should be applied as soon as possible or within the time frames provided by Visa. Visa reserves the right to suspend support of prior versions of the Apps and Visa will discontinue support for versions which have been updated or upgraded 12 months after the update or upgrade.

16. You are responsible for supporting the sponsoring Issuer and the end users of its or the sponsoring Issuer’s Application, as applicable, and Visa disclaims any and all liability with respect to Your end users.

17. Visa reserves the right to schedule maintenance windows with advanced notification during which the Visa Digital Enablement Lite App capabilities will not be available.

18. You acknowledge and agree that several of the capabilities enabled through Visa Digital Enablement Lite App depend on the actions and input by third parties, such as the sponsoring Issuer, the relevant digital wallets or other third party end points, both with respect to timeliness and data accuracy. Visa does not have insight into or control over such third party actions and input and disclaims any and all liability.

19. Visa will begin billing You for Visa Digital Enablement Lite App fees commencing the month in which the Project Kick-Off Meeting falls.
