Visa Pay Product Terms

  1. Definitions. Capitalized terms not otherwise defined in the Visa Developer Center Terms of Use (“VDP Terms”) or herein shall have the meaning given to them below in Section I below:

License. Subject to Client’s compliance with the terms and conditions of the Agreement, during the term specified in the applicable Service enrollment form and in territories with Visa-accepting merchants, Visa hereby grants to Client a limited, personal, non-exclusive, non-transferable, non-sublicensable license to: (a) use the Service and Documentation and (b) make a reasonable number of back-up or test copies of the Service SDK in support of thereof; in each case (a)-(b) solely to the extent necessary to enable Client to integrate the Service into its Client Application (as defined below) so that Users (as defined below) may transact with Visa-accepting merchants (“Merchants”) for goods and services using a Visa debit credential linked to the User Client-account in the Client Application, all in accordance with the VDP Terms and Visa Documentation (including any applicable testing and approval requirements of Visa therein).
  3. Agent Relationship: The following terms apply if Client is not a Visa Member (as defined in the VDP Terms).
    1. Prior to accessing the Service and Documentation and implementing the Service into any Client Application, Client must first ensure that it has a Visa Member issuing financial institution acting as Client’s BIN sponsor (“Sponsor”) to support Client’s activities relating to the Service. In addition, Client shall ensure its Sponsor (a) is a Visa Member in good standing throughout the term; (b) is approved by Visa to participate in the Service; (c) registers Client as a Third Party Agent (as defined in the Visa Rules) for purposes of the Service; and (d) demonstrates to Visa that Client is PCI DSS compliant, if required by Visa.
    2. Client must also ensure that prior to accessing the Service and Documentation and implementing the Service into its Client Application, Client provides to Visa a copy of a written document signed by the Sponsor stating that (a) Client is acting as an agent of Sponsor, (b) the Sponsor assumes full liability for and indemnifies Visa for Client’s acts or omissions in connection with the Service; and (c) the Sponsor shall cause Client to comply with the obligations set forth in the VDP Terms, including any terms set forth in the Service Documentation, that may be required of Sponsor.
    3. If, for any reason, an applicable Sponsor ceases to be a Visa Member or no longer sponsors Client’s use of the Service, then, as it pertains only to Client’s activities enabled by the applicable Sponsor, Client’s right to both access and use the Service and Documentation shall immediately terminate.
  4. Client Application Development and Distribution:
    1. In accordance with the terms and conditions of the VDP Terms and the Service Documentation, including the license to the licensed Components, Client shall:
      1. develop, enhance or otherwise modify its mobile application (“Client Application”) and the front-end user experience of the Client Application to facilitate use of the Service;
      2. Submit the Client Application integrated with the Service to Visa for Solution Approval as required in the VDP Terms;
      3. ensure that the Client Application is properly maintained in fully functional and operational status for the Term in order to allow your Client Application end-users (“Users”) to: (a) view the history of transactions made with their Service-enabled accounts within the Client Application; and (b) block and/or unblock the ability for the Service-enabled accounts within the Client Application from making transactions.
      4. provide all other application experiences required to support the Service-enabled Client Application as mutually agreed by Visa and Client (e.g. real time notifications, card pairing);
      5. provide prompt and professional support for Users inquiries and feedback in relation to their use of the Client Application or their use of their Service-enabled accounts, whether through the Client Application or otherwise.
  5. Non-Visa Payment Methods: If any non-Visa payment method is available for use through a Client Application, Client shall:
    1. ensure that the Client Application makes clear to each User the payment method that such User is selecting and using to make each payment, all in a manner acceptable to Visa;
    2. not require, encourage or otherwise steer Users that wish to use a Visa-branded credential or payment method available through the Service to enroll or use another non-Visa payment method, instead of such Visa-branded credential or payment method available through the Service; and
    3. not discriminate against Visa or the Service relative to any non-Visa payment method or operator of a non-Visa payment method with respect to the availability of or basic use and ability to pay with a specific method via the Client Application.
  6. Click to Pay Functionality: To the extent Click to Pay is enabled as a Client Application feature, Client shall:
    1. enroll Service-enabled Visa credentials (“Cards”) into Click to Pay (except where prohibited by applicable law) through the designated APIs, which enrollment shall include validating the identity of each cardholder;
    2. provide mechanism(s) through which Users may opt-out of the participation in Click to Pay;
    3. use the designated APIs to ensure the Users and Card data (such as account information, email address, mobile phone number, billing and shipping addresses) is kept up to date in line with Client’s own records and lifecycle management;
    4. handle any communications with Users relating to Click to Pay for the Cards, including customer service or support inquiries;
    5. use and display the Click to Pay icon in accordance with the with the Branding Requirements and EMVCo Click to Pay Icon Trademark Reproduction Requirements; and
    6. acknowledge and accept that Visa’s ability to perform its obligations is dependent upon Client’s full and timely cooperation, as well as the accuracy and completeness of any information and data which Client provides to Visa.
  7. Trademarks: Client acknowledges and agrees that any use of Visa Trademarks identified for use with the Service shall be solely in accordance with applicable Documentation and Visa Brand Assets. Visa is not required to allow any payment solution or other product, service, or functionality that is or will be marketed, labeled, branded, or distributed under or using any branding, trademarks, logo, trade dress, or the like of anyone other than Client to use or benefit from the Service.
  8. Flow Down Terms:
    1. Client must ensure that each User is made aware of and agrees in writing to relevant cardholder terms governing such User’s use of a Visa payment credential as part of the Service-enabled Client Application.
    2. During any part of the KYC Checks or at any time after issue of a Visa payment credential, Visa may request further information from a User through Client, and the Client shall obtain and provide Visa with accurate, complete and updated information on the User as requested by Visa.
    3. To the extent Click to Pay is enabled as a card feature in a Client Application, Client is responsible for ensuring that Users agree to the following terms:
      1. User’s card may be enabled for Click to Pay through Visa, which permits Users (a) to store their payment account number(s) and other related information, such as e-mail address, mobile phone number, billing and shipping addresses (“Card Details”) for their card and (b) the ability to use Click to Pay to share the card details with merchants and other third parties, that display the Click to Pay icon where Visa is accepted, to allow them to process a transaction.
      2. If the card is enabled for Click to Pay: (a) User may unenroll the Card from the Click to Pay feature by visiting a site hosted by or on behalf of Client that enables Users to unenroll their card from Click to Pay, currently found at [LINK]; and (b) User must only use valid email addresses and phone numbers owned or controlled by User.
      3. Click to Pay is not a bank or payment account and does not offer any credit to User or a merchant. Any transaction that User makes using the Click to Pay feature will be reflected in the account for the Visa card.
      4. Visa may, in its sole discretion, remove the Click to Pay feature from User’s Card at any time.
      5. Visa may use information about the device(s) User uses to access Click to Pay to authenticate User and create a trusted link between User’s device(s) and User’s Card.
      6. Where available, User may choose to use the passkey capabilities User’s device such as fingerprints, face authentication and/or User’s device passcode in connection with the Click to Pay feature. User may disable User’s use of these passkeys in connection with the Click to Pay feature by unlinking or removing User’s Card by visiting https://secure.checkout.visa.com/createAccount?channel=destination&niflow=destination&nicmp=destination&locale=en-EN&country=EN.html.
      7. These terms apply exclusively to User’s participation in Click to Pay with respect to the Card. If User has other payment methods enrolled in Click to Pay, User may be subject to separate terms set by the issuer or payment network for those specific payment methods.
  9. Privacy: The parties agree that to the extent Client is a Visa Member under the Visa Rules (or are otherwise subject to the Visa Rules), the privacy and data protection sections of such Visa Rules will continue to govern the Processing of Personal Information.
  10. Defined Terms
    1. “API” means the application interface that formats, encrypts, and decrypts messages transferred between Client’s systems and Visa's systems as specified in the applicable Visa Materials and which may be provided to Client as part of this Documentation, as software in object code format or as sample code or code snippets.
    2. “Branding Requirements” means the Visa Digital Brand Requirements and any other the branding requirements as included in the Documentation, as modified by Visa from time to time.
    3. “KYC Checks” means such know-your-client and other customer due diligence checks as may be applicable to a User in connection with the provision by Client, directly or through a Sponsor, as applicable, of a Service-enabled Card to such User through the Client Application.
    4. “Service” means the solution, currently known by Visa as Visa Pay (and as described in any applicable Documentation), that is designed to enable Visa Member and non-member clients operating digital mobile wallet applications to access certain application programming interfaces, software development kits and other Visa (and its Affiliates) products and services to enable such clients’ end-users to transact with Visa-accepting merchants using a Visa-credential from the client’s Service-enabled digital mobile wallet application. Such solution may be modified by Visa from time to time
    5. “Service SDK” means any APIs and software development kit made available to Client by or on behalf of Visa for the Service and pursuant to the Agreement, including the Documentation, for a particular set of API(s) as identified in the Visa Materials, including any upgrades, modified versions, updates, and/or additions thereto, if any, that may be provided or made available by Visa to Client under the Agreement. The Service SDK specifies the API(s) for which it is to be used and may include Visa Materials, sample code, code snippets, Test Data (as defined in the VDP Terms) and tools to assist in implementing and testing interoperability with the respective APIs
    6. “Visa Materials” means any and all Documentation, information, ideas, inventions, know-how, materials, platforms, software, tools, and enabling hardware and software (including application programming interfaces, software development kits, testing data and testing environments) to be used in connection with any API, Service SDK or Visa product or service.
