VisaNet Connect - Card Services Product Terms

  • The services accessed via the VisaNet Connect API – Card Services (“VisaNet Connect APIs”) are provided by Visa to Visa issuing financial institutions (“Visa Issuers”) in accordance with the applicable Visa Rules and all other documentation concerning the VisaNet Connect APIs provided by or available from Visa (including but not limited to the VisaNet Connect API – Card Services Client Implementation Guide and the VisaNet Connect API – Card Services Service Description), each as may be amended by Visa from time to time (the “Service Documentation”). 
  • Company may access and use the VisaNet Connect APIs only on behalf and at the direction of Visa Issuers that have completed and signed a current VisaNet Connect APIs Processor Implementation Request and Authorization Form for Company. 
  • Company agrees and acknowledges that it is responsible for all data submitted via the VisaNet Connect APIs and any ensuing actions, including without limitation, (i) data accuracy and timely submission of updates; and (ii) ensuring that all environments and host software utilized by Company in connection with its access to the VisaNet Connect APIs are PCI DSS compliant and PCI PIN Security Standard compliant, if applicable, and will comply with all applicable requirements as set forth in the Service Documentation. Company must conduct its own assessment and is responsible for the use of the respective capabilities of the VisaNet Connect APIs, as well as for generating, maintaining and updating the relevant cardholder and card data and processing conditions, as applicable. This includes ensuring that (i) account numbers and values are current and (ii) data is appropriately secured and protected in accordance with applicable Law, including but not limited to ensuring not to store, log or otherwise create copies of PIN data. 
  • Company shall provide participating Visa Issuers with all relevant customer service, technical support, implementation and other technical guidance as necessary, and Visa shall have no responsibility to provide any such service, support or guidance to Visa Issuers hereunder. 
  • Disclaimer/Limitation of Liability. The VisaNet Connect APIs and all information accessed via such VisaNet Connect APIs and/or otherwise provided to Company hereunder, are provided on an “as is” basis. VISA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, AND VISA SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL VISA BE LIABLE FOR DAMAGES TO COMPANY FOR INACCURACIES IN THE SERVICE DOCUMENTATION OR FAILURE TO NOTIFY COMPANY OF OR PROVIDE REVISIONS IN THE SERVICE DOCUMENTATION TO COMPANY, AND IN NO CIRCUMSTANCES SHALL VISA BE HELD LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISING FROM THE VISANET CONNECT APIS, INFORMATION SUBMITTED OR ACCESSED VIA SUCH APIS OR DISCLOSURE OF INFORMATION TO COMPANY, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUES OR PROFITS, EVEN IF VISA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.
  • In the event of any express conflict between this Agreement, or the Visa Rules in connection with Company’s use of the VisaNet Connect APIs, the Visa Rules will govern. 
  • Any verifications and inquiries facilitated through VisaNet Connect APIs should not be solely relied on for validation and are used at Company's risk. Visa shall have no obligation or liability with respect to any decisions that Company or the Visa Issuer may base on the results of calls to the APIs of the VisaNet Connect APIs. 
  • Company further acknowledges and agrees that verifications and inquiries facilitated through VisaNet Connect APIs may depend on the actions and input by third parties and Company, if applicable, both with respect to timeliness and data accuracy. Visa does not have insight into or control over such third-party actions and input and disclaims any and all liability.

Product Fee Schedule

Monthly Minimum: N/A

Recurring Usage Fee: API call fees, in addition to all standard VisaNet processing fees, are payable by the relevant Visa Issuer in accordance with Visa’s current price tables on Visa Online (VOL). Standard existing per transaction pricing for VisaNet applies. Standard reporting and Kbyte transmission charges will apply.

 

Project Management Fee Schedule

Fees shall be valid for up to one (1) year from the Agreement or the Addendum Effective Date, and thereafter, may be modified by Visa at any time in its sole discretion.

Project Management Fee for VisaNet Connect APIs1: Varies by region 2,3

Terms /Assumptions:

  • 1 Includes 8 hours of Visa attended testing, if applicable, after which published rates will be assessed per Visa’s fee guide (requires VOL access - “Global Client Testing Services and Host Testing Cards Fees Table”).
  • 2 This fee covers only the first 8 (eight) months of the implementation effort, starting from the Project Kick-off Meeting scheduled by Visa. Starting on day one of month 9 (nine) following the Project Kick-Off Meeting, an additional monthly implementation fee of $25,000 USD applies until completion of the implementation effort, as marked by the Completion Letter from Global Client Testing. 
  • 3 Includes setups for Processing Control Record (PCR), Funds Transfer Settlement Reporting Entity (FTSRE), Issuing ID, Visa File Exchange Service (VFES), and Visa Resolve online (VROL) unless this is a Realtime Transaction System Interface (RTSI) setup which is charged separately.

Company Configuration Fees

General Configuration Change Fee Estimate - VisaNetConnect APIs: Standard client configuration management fees apply (as set forth on Visa Online  (the “Project Management and Client Configuration Fees Table”)) when modifying existing BINs, payable by the relevant Visa Members that Company is acting on behalf of. Final price to be determined based upon actual implementation details provided in the Company Information Questionnaire (CIQ) or relevant onboarding form.

Fee Assumes: ·

  • All BINs are already loaded into Visa’s system as of the contract effective date. 
  • The entire BIN and all associated account ranges will participate in this activation through to production. If partial BIN activation occurs, additional fees will apply. ·
  • All BINS are configured at the same time. ·
  • Additional fees will apply if BINs used for testing/certification are not activated in production. If new BINs are being created to implement VisaNet Connect APIs these fees will not apply.

1. No Other Modifications, Order of Precedence. Except as provided above, all the terms of the Agreement will remain in full force and effect. In case of conflict between the terms of the Agreement and the terms of this First Amendment, the terms of this First Amendment shall prevail.
